Prime Market Vendor Agreement

This Prime Market Vendor Participation Agreement is entered by and between:


The Little Things Event Planning


AND

1. Event Details

The Little Things Event Planning and Liberty Prime Steakhouse are hosting a vendor market event ("Prime Market") scheduled for May 10th, 2025, at 111 Montgomery St., Jersey City, NJ 07302.


2. Vendor Participation

The Vendor agrees to participate in the Event by renting a limited space to sell their goods/services. The space provided to the Vendor will be a 6’ x 4’ area with a 6FT table for display.


3. Fees

The Vendor agrees to pay a fee of $200.00 for participating and showcasing at the Prime Market. This fee is due upon signing of this Agreement and is non-refundable.


4. Setup and Breakdown

The Vendor may begin setup at 9:00 AM and must complete setup by 11:00 AM. The Vendor agrees to remove all items and clean the booth/stall by 4:30 PM on May 10th, 2025. Early breakdown is not permitted without prior written approval from the Organizer.


5. Vendor Responsibilities

The Vendor is responsible for the sale, display, and safety of their goods/services. The Vendor must comply with all local laws and regulations, including health and safety codes. The Vendor will maintain their booth in an orderly and professional manner throughout the event. The Vendor is responsible for their own insurance, if desired. The Vendor will promote the event on their own social media outlets and assist with advertising. Both the Organizer and Venue accounts must be tagged in all communications.


6. Organizer’s Responsibilities

The Organizer will provide each vendor with a 6FT table, black linen, and access to an outlet. The Organizer will promote the Event to attract attendees. The Organizer and associates will provide content to promote the event, including customized social media content on the day of the event.


7. Cancellation

The Vendor may cancel their participation by providing 10 business days written notice. In such a case, the Vendor will receive a refund minus a 50% cancellation fee. For cancellations made less than 10 days before the event, no refunds are available. If the Organizer cancels the Event for any reason, the Vendor will be refunded the full participation fee.


8. Liability and Indemnification

The Vendor agrees to hold the Organizer harmless and indemnify them from any liability arising from accidents, injuries, or damages caused by the Vendor’s participation in the Event. The Vendor is responsible for securing their property and goods during the event.


9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, USA.


10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions or agreements. Any amendments must be in writing and signed by both parties.
